Dear Board Members,

It is with deep regret, and tremendous burden that I am carrying on my conscience, that I would like to bring the following facts to your notice:

1. The balance sheet carries as of September 30, 2008

a) Inflated (non-existent) cash and bank balance of Rs 5,040 crore (as against Rs 5361 crore refglected in the books)

b) An accured interest of Rs 376 crore which is non-existent

c) An understated liability of Rs 1,230 crore on account of funds arranged by me

d) An over stated debtor position of Rs 490 crore (as against Rs 2651 reflected in the books)

2. For the September quarter (Q2) we reported a revenue of Rs 2,700 crore and an operating margin of Rs 649 crore (24 per cent of revenues) as against the actual revenues of Rs 2,112 crore and an actual operating margin of Rs 61 crore (3 per cent of revenue). This has resulted in artificial cash and bank balances going up by Rs 588 crore in Q2 alone.

The gap in the balance sheet has arisen purely on account of inflated profits over a period of last several years (limited only to Satyam standalone, books of subsidiaries reflecting true performance). What started as a marginal gap between actual operating profit and the one reflected in the books of accounts continued to grow over the years. It has attained unmanageable proportions as the size of the company operations grew significantly (annualized revenue run rate of Rs 11,276 crore in the September quarter, 2008 and official reserves of Rs 8.392 crore). The differential in the real profits and the one reflected in the books was further accentuated by the fact that the company had to carry additional resources and assets to justify higher level of operations – thereby significantly increasing the costs.

Every attempt made to eliminate the gap failed. As the promoters held a small percentage of equity, the concern was the poor performance would result in a takeover, thereby exposing the gap. It was like riding a tiger, not knowing how to get off without being eaten.

The aborted Maytas acquisition deal was the last attempt to fill the fictitious assets with real ones. Maytas’ investors were convinced that this is a good divestment opportunity and a strategic fit. Once Satyam’s problem was solved, it was hoped that Maytas payments can be delayed. But that was not to be. What followed in the last several days is common knowledge.
I would like the board to know:

1. That neither myself, not the Managing Director(including our spouses) sold any shares in the last eight years-excepting for a small proportion declared and sold for philanthropic purposes.

2. That in the last two years a net amount of Rs 1,230 crore was arranged to Satyam (not reflected in the books of Satyam) to keep the operations going by resorting to pledging all the promoter shares and raising funds from know sources by giving all kinds of assurances (Statement enclosed, only to the members of the board). Significant dividend payments, acquisitions, capital expenditure to provide for growth did not help matters. Every attempt was made to keep the wheel moving and to ensure prompt payment of salaries to the associates. The last straw was the selling of most of the pledged share by the lenders on account of margin triggers.

3. That neither me, nor the Managing Director took even one rupee/dollar from the company and have not benefitted in financial terms on account of the inflated results.

4. None of the board members, past or present, had any knowledge of the situation in which the company is placed. Even business leaders and senior executives in the company, such as Ram Mynampati, Subu D T R Anand, Kesab Panda, Virender Agarwal, A S Murthy, Hari T, S V Krishnan, Vijay Prasad, Manish Mehta, Murali V, Sriram Papani, Kiran Kavale, Joe Lagioia. Ravindra Penu Metsa, Jayaraman and Prabhakar Gupta are unaware of the real situation as against the books of accounts. None of my or managing directors immediate or extended family members has any ideas about these issues.

Having put the facts before you, I leave it to the wisdom of the board to take the matters forward. However, I am also taking the liberty to
recommend the following steps:

1) A task force has been formed in the last few days to address the situation arising out of the failed Maytas acquisition attempt. This consists of some of the most accomplished leaders of Satyam: Subu D, T R Anand, Keshab Panda and Virender Aggarwal, representing business functions, and A.S.Murthy, Hari T and Murali V representing support functions. I suggest that Ram Mynampati be made the Chairman of this task force to immediately address some of the operational matters on hand. Ram can also act as an interim CEO reporting to the board.

2) Merrill Lynch can be entrusted with the task of quickly exploring some merger opportunities.

3) You may have a ‘restatement of accounts’ prepared by auditors in light of the facts that I have placed before you.

I have promoted and have been associated with Satyam for well over twenty years now. I have seen it grow from few people to 53,000 people, with 185 Fortune 500 companies as customers and operations in 66 countries. Satyam has an excellent leadership and competency base at all levels. I sincerely apologize to all Satyamites and stakeholders who have made Satyam a special organization, for the current situation. I am confident they will stand by the company in this hour of crisis.
in light of the above, I fervently appeal to the board to hold together to take some important steps. Mt T R Prasad is well placed to mobalize support from the government at this crucial time. With the hope that members of the Task Force and the financila advisor, Merrill Lynch (now Bank of America) will stand by the company at this crucial hour, I am marking copies of this statement to them as well.

Under the circumustances, I am tendering my resignation as the chairman of Satyam and shall continue in this position only till such time the current board is expanded. My contribution is just to ensure enhancement of the board over the next several days or as early as possible.

I am now prepared to subject myself to the laws of the land and fact the consequences thereof.

Its a story set in future of a censored society in which Fireman are the ones who BURN books. Fahernheit 451 essentially means the temperature at which books burn. Ray Bradbury potrays a future where electronic devices (TVs, Electronic pets) are more prevalent while books and nature activities are suppressed.

Harry Potter and The Deathly Hallows. Yes i finally got the final book. Had to wait in a line since 5:00 in the morning. I was 14th in the line to get the book but yes i finally have it. I completed it on Sunday evening and must i have mixed reactions. At times some chapters looks like stretched but the climax is well written. the epilogue - Nineteen Years Later is i think, unnecessary and added for its mushy effect!!

I recently bought w610i. I had my eyes set on w660i but it was taking too much of a time to launch in Mumbai. At first there was only a gray body model of this cell which is yucky, it looks like a second hand phone even through its box pack.

I bought this eventually from Alpha in Andheri at 13500.
I got a sleek black piece and i am loving it.

Music: Its a Sony. No one comes near sony when it comes to music phones. Believe me they are unbeatable in this category. Nokia have there durable and easy-to-use phones but they have suck and will suck at music phones. I listened to "Dil Chahta Hai - Tanhayee" on N73 Music Edition (Rs. 18000..then) and a friends k750i. It some how missed the punch i wanted out of my music. This and any other decent Sony music phone is worth buying than any freaking NSeries phones.
Looks. Some might hate the metallic-orange color but i love it. Its different that the previous Walkman phones (the gaudy white-orange w550-w600-w800). The sleek feel you get when you hold the phone especially after clutching on a Nokia 3230 is amazing. The black and orange look of this mobile is another selling point. I had to wait for 2 weeks for this color to arrive.
Memory: The package comes with a 512MB memory and maximum expandable to 2GB. Cool feature of almost all SE phones is a large phone memory. this one for one has 70 MB.

1. Departure

after all preparations finally 8th of April arrives the day i fly out of Mumbai. I wait for the flight along with my mom,dad and friends Ananata and Mandar. the most boring part was to wait before going in for all checks and baggage. I try to taste the ugly overpriced coffee at airports and then later take a swag of Red Bull to keep me awake all the time.

Boarding Pass
Since this is the first time i am actually gonna fly, i am a bit excited. Once my checkin is done i come out again with my boarding pass.

Once thats done i finally get in the Immigration Counter, show my pass and get in the queue to board the flight. In all this excitement i forgot to wave goodbyes to mom,dad and friends. Once through the Immigration checkin i head downstairs for waiting room to be boarded.

The Flight
The flight would go from Mumbai to Delhi to London. Here i would change to local carrier British Midland to land in Glasgow. I patiently wait and hear announcements that start boarding of plane as per seat numbers. Obviously i have booked a window seat to enjoy all the views. Once through a tube like structure i finally boarded the plane and got my seat.

First impression, CRAMPY. then i realize its economic class...seats are supposed to be cramped. anyway i fit myself in the seat and open the blind to see the vehicles running in and out the plane's shadow. I read DNA, Hindustan Times and Business Standard

quickly browse through the headlines. Infrequently i read complete stories. Browsing through excellant DNA Money and Sports section is a must. After Hrs is the worst and trashy part of this newspaper and can be skipped completely

main paper is something to be read completely. Finance is so so, same for sports. the HT Cafe is good to browse for daily dose of Calvin and Hobbes and Horoscope

My to-be-read-in-bus newspaper. Nice Industry analysis in a readable font. This paper could seriously take a hint from DNA Money and have a daily "Personal Finance" section. Something which EcoTimes also misses

This is a really cool song from Atif Aslam. this is guy has a real nice voice. He started getting famous when he was part of a Pakistani band Jal, and then his song Woh Lamhe was copied (or inspired) into an Indian film Zeher. From them he has been well appreciated in India.

He has give good hits like Aadat from Kalyug, Tere Bin from Bas Ek Pal and now Doorie

This is so true for 9-5ers that we are caught up in a routine life and are sometimes Sick of Office-Home-Office. This is what might have led to our office folks planning a small outing for us guys working at IBTech in MphasiS Andheri.

Tudor Farms

There was an outing planned on last Saturday, 2nd December to visit Tudor Farms situated between Karjat and Khopoli. Situated exactly as below

Start.
Plan was to start early, really really early from Mumbai and its suburbs by boarding buses as planned meticlously by our coordinators Rajiv,Priyanka, Sudarshan and Nilesh. I had to get up early which was a first on weekend also for lots of other folks boarding near LBP. The 49 seater bus came up a tad bit late but the 61 seater arrived late at Borivali and we started from LBP at 7:15.

En-route

During the road we had a nice chance to ready ourselves for the oncoming day as we moved through suburbs of Andheri,JuinagarVashi,Belapur, and we also got to see the sun up in its orange mood

After a slight mishap on the way of taking the wrong turn we reached Tudor at 9:00 dot so no harm done. .

these roads lay forgotten...

The previous bus having reached earlier had people disperse out offit and into the farm which had a very nice green lawn and quite a few places to sit and enjoy the scenic view of the lake.

Mini Island
There was this real cool mini island which was near these farms. All nice with a small bunglow and ready with a boat

Leaving early with a little snack left me hungry for the breakfast which was mindblowing. I can still taste the Egg Burgi which was simply great. After dumping meself with lots of burgi paav and some team snaps we were off the check out the surroundings!!

We've know earlier there were some games are planned for us and a cool DJ. The first thinge we did after a bit of roaming around was gather around a large circle and play a game of Bank. The ladies were value at 10 and men at 5 bucks. the prompter would shout out an amount in which we had to gather ourselves like "a group of 15" "3 ladies and a gent", those who were not when the music stopped were out of the game. A real fun one to start our day with.

After these the participants were divided into a group of 4 which were called DOGS,CATS,DUCKS and CROWS. I was part of the dogs.

The name is Dog, Blue Dog.

I had this experice twice this week. Once when i was returning to my office from a lunch nearby. We boarded a rickshaw which was driven by a boy, atleast he looked young enough to not recieve a license. The adrenaline rush that he got when he saw empty space on the road was amazing. The same adrenaline was channelled to the accelerator of his rickshaw.

Can you hear yourself talking? Can you hear your mind?

I was returning from my job, very late. Took a bus to home which was not that crowded. After getting a seat i pulled out my book and started reading, which is what i usually do since i frequently travel alone. After some moments, i noticed that a boy just ahead of me was doing vivid gestures with this hands and looking at the next boy which i thought must be just another passenger.

It took me some time to understand that they were talking in sign language. They looked to happy, a happiness that showed on their faces. The hand gestures, the moving of lips as if to speak but just enough to convey the word.The questions, their answers, cracks , i could not definately understand what was the talk but how animated it was.

The talk looked so animated, so alive, i thought i could never talk like that

This was the same bus where a guy behind me was bragging to his friend about the new mobile he got, the screechingly loud ringtones of mobiles that is so irritating and the usual noises of a city busy in itself. This was the same bus where i saw such a conversation that being so open was yet still so private. Moments later when these two guys got a place to seat, they were joined by a third friend and continued the same way, talking

My book lay forgotten on my lap as i was amazed to see them talk. Nothing more, just talk.

I've been using from the time it was called Konfabulator. Tried hundreds of widgets ranging from games,post-it notes,clocks, RSS readers. 2 widgets that i always install i World Clock Pro and Harry Potter Quote

I have stop using mouse after i had installed lauchy. This small app stores all your shortcuts that you ask it to and run them by typing there names in short. for ex. to start fire fox on my machine i need to type "fi" instead of start > Programs > Mozilla Firefox > Firefox. I have even gone ahead and removed QuickLaunch toolbar.

hope you would also love this tools.

English Premier League kicked off. ManU and Chelsea looked brilliant. Arsenal scared me in their first match coming 1-0 down and making a draw against AstonVilla
Pakistan and England were doing anything but playing cricket with umpires doing their bit too. End result, Pakistan fortfiets and England wins the fourth test
Ustad Bismillah Khan, renowned shenai vaadak died this week on 21st.
Listened to an amazing ozz band called Wolfmother.
